Agreement to Terms

By accessing or using eSignLabs, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, then you may not access the service.

Use License

Permission is granted to temporarily access the materials on eSignLabs's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

Modify or copy the materials
Use the materials for any commercial purpose or for any public display
Attempt to reverse engineer any software contained on eSignLabs's website
Remove any copyright or other proprietary notations from the materials

User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password.

Electronic Signatures

By using eSignLabs to sign documents electronically, you agree that your electronic signature is legally binding and has the same legal effect as a handwritten signature. You consent to conducting transactions electronically and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

All documents signed through eSignLabs are cryptographically sealed using industry-standard document signing certificates from a trusted Certificate Authority to ensure their integrity and prevent tampering. These certificates provide:

Identity Authentication: Cryptographic proof of signer identity through trusted Certificate Authority validation
Document Integrity: Any alteration to a signed document invalidates the digital signature, providing tamper-evident protection
Non-Repudiation: Digital signatures provide cryptographic evidence that cannot be denied, ensuring signers cannot claim they did not sign the document
Legal Validity: Meets requirements under various regulations including the ESIGN Act, UETA, eIDAS (for EU customers using eIDAS certificates), FDA 21 CFR Part 11, and HIPAA

For European Union customers, we offer eIDAS-compliant certificates issued by a Qualified Trust Service Provider (QTSP) that provide Advanced and Qualified Electronic Signatures with the same legal effect as handwritten signatures under EU law.

Data Storage and Management

eSignLabs stores and manages your documents and data in accordance with industry standards and regulatory requirements:

Data Security: All data is encrypted at rest using AES-256 encryption and protected in transit with TLS 1.3. We implement granular access controls and maintain comprehensive audit trails of all document actions. Digital signatures are applied using industry-standard document signing certificates, which provide cryptographic proof of identity and document integrity.
Data Retention: We retain your documents and data for as long as necessary to provide our services and comply with legal obligations. You may request deletion of your data, subject to legal retention requirements. Signed documents may be retained longer to comply with regulatory requirements (e.g., FDA 21 CFR Part 11 requires retention of electronic records).
Data Ownership: You retain ownership of all documents and data you upload or create through eSignLabs. We do not claim ownership of your content.
Data Backup: We maintain regular backups of your data to ensure availability and recovery. Backups are encrypted and stored securely.
Data Deletion: Upon account termination or deletion request, we will delete your data from active systems. Some data may remain in encrypted backups for a limited period as part of our disaster recovery procedures, after which it will be permanently deleted.
International Data Transfers: Your data may be stored and processed in countries outside your country of residence. We ensure appropriate safeguards are in place for international data transfers in accordance with applicable data protection laws.

Compliance and Regulatory Requirements

eSignLabs is designed to support compliance with various regulatory frameworks:

GDPR: We process personal data in accordance with GDPR requirements, including data subject rights and international transfer safeguards.
CCPA: We respect California residents' privacy rights, including rights to access, delete, and opt-out of the sale of personal information.
HIPAA: For healthcare customers, we offer HIPAA-compliant solutions using industry-standard document signing certificates. These certificates provide the technical safeguards required by HIPAA, including strong identity authentication, data integrity, and non-repudiation. We can enter into Business Associate Agreements (BAAs) as required.
FDA 21 CFR Part 11: Our platform meets FDA requirements for electronic records and signatures using document signing certificates designed for 21 CFR Part 11 compliance (available for Enterprise licenses). This includes system validation, audit trails, access controls, and cryptographic proof of identity and document integrity.
eIDAS (EU): For European Union customers, we offer eIDAS-compliant certificates issued by a Qualified Trust Service Provider (QTSP). These certificates provide Advanced and Qualified Electronic Signatures with the same legal effect as handwritten signatures in the EU.
PCI DSS: We maintain PCI DSS compliance for secure handling of payment information.
SOC 2 Type II: We maintain SOC 2 Type II certification, demonstrating our commitment to security, availability, processing integrity, confidentiality, and privacy.

While eSignLabs provides tools and infrastructure designed to support compliance, you are responsible for ensuring your use of the service complies with all applicable laws and regulations in your jurisdiction.

Service Availability

We reserve the right to withdraw or amend our service, and any service or material we provide, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the service is unavailable at any time or for any period.

We strive to maintain high availability of our services and implement redundancy and disaster recovery measures. However, we do not guarantee uninterrupted access to the service and may perform maintenance that temporarily affects availability. We will provide reasonable notice of planned maintenance when possible.

Prohibited Uses

You may not use our service:

In any way that violates any applicable national or international law or regulation
To transmit, or procure the sending of, any advertising or promotional material
To impersonate or attempt to impersonate the company, a company employee, another user, or any other person or entity
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful

Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of eSignLabs and its licensors. The service is protected by copyright, trademark, and other laws.

Disclaimer

The materials on eSignLabs's website are provided on an 'as is' basis. eSignLabs makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Limitation of Liability

In no event shall eSignLabs, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

Indemnification

You agree to defend, indemnify, and hold harmless eSignLabs and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which eSignLabs operates, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
